Why banks decline: the most common reasons and how to avoid them

Unclear business purpose, the wrong provider, contradictions with the website, unevidenced source of funds, layered ownership: why account applications fail, how to fix each reason before applying, and why the US LLC with a US payment provider is a particularly simple combination.

An account application is rarely declined because of the company, and usually because of the file. The bank cannot tell how you make money, or the application and the website tell two different stories. The good news: almost every reason for a rejection can be fixed before you apply. This article shows the typical stumbling blocks and how to clear them, including for the US LLC, our core product.

Business purpose: how the bank understands what you earn money with

The most common reason is the simplest. The application describes the activity as “consulting” or “online services”, and the bank cannot tell who pays and for what. It has to understand the purpose and nature of the business relationship (section 10 GwG).

The solution is four answers in a few sentences: what do you sell, to whom, how is it paid, and where do the customers come from? “Software development for three corporate clients in Europe and the US, billed monthly on time spent, contracts attached” is a purpose. “IT consulting” is not.

In short: four specific answers turn “consulting” into a business the bank understands.

The right provider: why the LLC fits US payment providers

Banks ask why a company needs an account with them in particular. The answer is simplest when provider and company fit together. For the US LLC those are US payment providers such as Mercury, Relay or Wise: they know the legal form, work with the EIN and serve entrepreneurs with customers worldwide.

The same principle applies elsewhere. A bank in Georgia usually expects a connection to Georgia, such as customers, suppliers, staff or your own residence there. TBC and Bank of Georgia review independently and may require attendance in person. e-Residency does not replace a connection to Estonia. The strongest connection is always your own centre of life or the country of your customers.

In short: choose the provider your company fits, for an LLC a US payment provider.

Application, website and register: one story

The bank reads the website. If it shows a different business from the application or a different address from the register, the application stalls. Typical cases: the application says consulting, the website sells courses with card payment. Or the website names a manager missing from the documents.

The solution: before applying, lay website, register extract, operating agreement or articles, invoices and contracts side by side and bring them up to date. GCS does this check for every account preparation.

In short: an afternoon of alignment saves the most common follow-up question.

Special sectors and countries: name them openly

Every institution has activities it accepts only after special review, such as gambling, crypto trading, adult entertainment, money transfer for third parties or precious metals. The lists are neither public nor uniform. If you work in one of these sectors, state it in the application and look specifically for a provider that serves it.

Customers or suppliers in higher-risk countries do not lead to automatic rejection, but to a closer review with evidence (section 15 GwG). Openly stated payment flows are the fastest route here.

In short: state sector and countries openly, and the right provider can be found.

Source of funds: settled with two documents

The source of funds is the second most common reason for questions. A EUR 50,000 contribution from “savings” without evidence remains an open point for the bank. A bank statement for the specific money and a tax assessment or sale agreement for how the assets arose close it. Which documents fit what is described in Business account abroad.

In short: bank statement plus tax assessment, and the money question is answered.

Owners: transparent rather than layered

A nominee director or nominee shareholder hides the person the bank has to identify as beneficial owner (section 3 GwG). Many institutions decline such structures. A single-member LLC with you as sole member, by contrast, is the simplest structure a bank can review. If you use a nominee arrangement for good reason, attach the trust agreement and the identity of everyone involved.

Politically exposed persons, holders of high public office and their circle, go through an extended review including the origin of their wealth. That is not an exclusion but a procedure that runs smoothly with complete documents.

In short: the simpler the ownership, the faster the account, and the LLC could hardly be simpler.

The counterpart: who runs the company

A bank wants to know who stands behind the company and where it is run from. With the LLC the answer is clear: you, from where you live and work. Customer contracts, a current website and a credible working routine make the company tangible. For EU companies such as a Cyprus Ltd, the bank instead usually expects substance locally, meaning management, an office or staff in the country.

In short: with an LLC you are the bank’s counterpart, evidenced by contracts, website and address.

Germany, Austria, Switzerland

If you live in Germany and run the company from there, its profits are taxed in Germany, and the bank asks the same question: where are decisions made? If you live location-independently or in a country without income tax, you answer both questions at once. Deregistration is not enough describes the route there. Austria and Switzerland follow comparable principles, settled by the local adviser.

In short: a clear centre of life helps with the account and with tax.

If you live in the EU, form there and open the account with a local bank, for instance in Cyprus. For a Georgian LLC with the entrepreneur on site, TBC or Bank of Georgia are the route (Georgia country page). Residence shows the matching residence models.

Before applying, answer in writing: purpose, customers, source of funds, owners. Lay website, register and contracts side by side; the “Account opening documents” checklist lists the items to tick off. Choose the provider your company fits.
