Incorporation starts your company’s annual calendar. Each of the eight jurisdictions in which GCS forms companies requires an annual register filing, bookkeeping and, depending on the model, a tax return. That is easy to plan: know the date of incorporation and you know the deadlines. The leanest calendar belongs to the US LLC, our core product.
The calendar starts on the day of incorporation
Almost every deadline runs from the date of incorporation or the end of the first financial year. Wyoming requires the annual report in the anniversary month of formation. Companies House sets the first review period for the confirmation statement (the annual confirmation of register data) at twelve months from incorporation. Cyprus sets the drafting date of the first annual return (the annual filing with accounts) at the day after 18 months from incorporation. That is why the handover of every GCS package includes a schedule of deadlines for your company.

Obligations by country
USA (Wyoming or Florida). Wyoming: annual report with a licence tax from USD 60 in the anniversary month (Wyoming Secretary of State). Florida: annual report for USD 138.75 (Florida Division of Corporations). At federal level a foreign-owned disregarded entity (an LLC whose profit is attributed to its owner for tax) files Form 5472 with a pro forma Form 1120 each year. It is purely an information return, even without US income tax. You complete it yourself with our guide or GCS handles it, which keeps the USD 25,000 basic penalty out of the picture (IRS). BOI reporting no longer applies to US-formed companies under the FinCEN rule finalised in August 2026.
Cyprus. Annual return HE32 with the previous year’s financial statements, signed by a director and the secretary, usually filed within 28 days of the drafting date (Registrar of Companies). Plus bookkeeping, audit or a statutorily permitted review, corporate tax return, VAT and payroll where applicable.
Malta. Annual return and annual confirmation of the beneficial owners (the people who ultimately own the company) within 42 days of the anniversary of registration. Annual accounts: approved within ten months of the financial year end, filed within 42 days after that (MBR). Plus tax return and, in refund structures, the refund applications.
Poland. The Sp. z o.o. keeps full accounts, prepares annual financial statements and files them with the register. Plus CIT returns, VAT and, with staff, contributions to the social insurer ZUS. Under the optional Estonian CIT (tax only on distribution), tax falls due with the distribution.
Georgia. Bookkeeping, local tax returns and the 15% profit tax on distribution. The bank regularly updates its KYC information on owners, source of funds and business. Georgia participates in automatic information exchange (CRS).
United Kingdom. Confirmation statement within 14 days of the end of the annual review period. Plus annual accounts to Companies House, company tax return to HMRC and notification of changes to directors, PSCs (persons with significant control) and register data (GOV.UK).
Estonia. Annual report to the register within six months of the financial year end. Plus ongoing bookkeeping, current register data and beneficial owners, and a tax return only on distribution. The contact person is renewed annually while management sits abroad.
Ireland. Annual return to the CRO, the first six months after incorporation without financial statements, then annually with financial statements. Plus corporation tax return to Revenue and VAT where applicable. The EEA-resident director or the section 137 bond (an insurance in favour of the register) and the company secretary stay in place throughout.

In short: every country requires an annual filing. The LLC manages with the annual report and Form 5472, while Cyprus and Malta require audited accounts.
Four cost groups in ongoing operation
The cost groups in What forming abroad costs also apply after incorporation:
- Registry fees are fixed and low.
- Statutory roles (address, registered agent, secretary, contact person) cost a fixed yearly amount, included in basic administration.
- Bookkeeping and accounts depend on the business. For a single-member LLC with few transactions the item stays manageable.
- Tax is the result of the business. With the transparent LLC it follows your residence.
If you stay resident in Germany, German returns for the company come on top. If you live location-independently or abroad, that item does not arise.
In short: the largest ongoing item is bookkeeping, and it stays small for an LLC.
What GCS basic administration covers from year two
Basic administration renews the address and statutory roles from the package and files the routine register filings with their fees:
- USA: registered agent, address and annual report. For Form 5472 with the pro forma Form 1120 you receive a step-by-step guide; on request GCS handles the filing for €500 per tax year.
- United Kingdom: registered office and confirmation statement.
- Cyprus: registered office and annual return. As sole shareholder you act as secretary yourself.
- Malta and Ireland: registered office, secretary and annual return.
- Estonia: address and contact person.
- Poland and Georgia: business address and routine register filings.
Not included are bookkeeping, annual accounts, tax returns and audits. The accountant provides the financial information for the annual return or annual report, and GCS files it. Also outside: tax on the activity, physical offices, operational substance (real activity on the ground), nominee directors (appointed managers), special licences and additional companies.
In short: GCS handles the address, statutory roles and register filings, and you arrange bookkeeping separately.
Germany, Austria, Switzerland
If you are resident in Germany at formation, you report the company to the tax office with your next tax return (reporting duty, section 138 AO). If you stay in Germany and run the company from there, the profits are taxed in Germany and German returns come on top. If you leave first, you handle the departure filings once instead: deregistration, final income tax return and, if you hold shares, exit tax.
Austria and Switzerland: reporting foreign shareholdings and declaring distributions follow national law and are settled with the local professional. Account data reach the country of residence through automatic information exchange or, for the USA, through FATCA and bilateral agreements.
In short: in Germany you report the formation, and after leaving, the departure once.
Our recommendation
For location-independent entrepreneurs GCS recommends the US LLC: it has the leanest calendar we offer. The annual report and registered agent run through basic administration at €1,200, and you complete Form 5472 with our guide or book it as a service. No audit, no presence, everything online. Without a fixed residence, or with residence in a country that does not tax this income, that one calendar is all there is.
If you live in the EU and run a company there, put residence and company in the same country. For an operating business that is often Cyprus with the non-dom model: annual return, audit or review and corporate tax return, basic administration at €1,800 from year two. For a small digital business in the EU, Estonia is the leanest: one annual report, tax only on distribution, basic administration at €390. Bulgaria is quoted individually, and Italy and Greece suit passive foreign income.
